Partner terms — v1 draft
Written the way we'd want to read them.
These are the working terms of the Limelight programme, in plain language. The numbers they reference live on the programme ledger and change only by its rules.
Draft status: this v1 is operating language for the founding cohort and has not yet been reviewed by counsel. Where it is silent, we will act in the spirit of the programme ledger.
1. The relationship
- Limelight membership is free, personal, and non-exclusive. You are an independent partner, not an employee, agency, or representative of Cullibrate Limited (NZ).
- Joining requires an account; promoting requires nothing further. We review activity after the fact rather than gatekeeping before it.
2. Earnings
- Your default referral is a full-price link. A promotion carries a positive audience discount, and your commission is the published pool minus that discount. A default link uses the accepted policy epoch current when the customer claims it; a promotion keeps the epoch recorded when it was issued.
- Epoch 1 promotions may discount 0.01–25%, or USD $0.01–$7.25. A promotion creates both its own referral link and a checkout code.
- Commissions become payable 60 days after the paid order, mirroring the provider's refund window. Refunded orders reverse their commission; partial refunds reverse proportionally.
- A free trial is not a paid seat. Its first positive subscription payment may count as the acquisition; later renewal payments do not earn another commission.
- Cleared balances at or above USD $25 pay in the next monthly batch. Smaller balances roll forward. You are responsible for your own taxes; we will ask for the details a NZ payer needs before the first payout.
- Earned and in-hold commissions are never repriced by later policy changes.
3. Attribution
- Attribution is mechanical: a signed 30-day receipt from your full-price or promotion link, or a promotion code on the order. The default referral has no typeable checkout code. The first valid attribution on a customer account is final.
- A purchase from the same Cullibrate account that owns the partner membership is rejected as a same-account self-referral and does not earn commission.
- Only provider-confirmed paid orders count. If the provider reverses an order, the ledger follows it.
4. Presentation
- Disclose the relationship wherever you promote — clearly and near the link or promotion code.
- Make only claims the product supports today; the brand kit lists approved claims.
- Keep promotion codes on your own channels. Coupon-site listing, paid search on the Cullibrate name or its misspellings, and bulk unsolicited messaging are prohibited.
- Tell us where you posted (the portal has a one-field form for it) — it lets us cross-promote you.
5. If something's wrong
- If we believe a post or practice breaches these terms, we'll send written notice with the specifics and evidence, and a reasonable cure period.
- While a concern is open, we may pause new attribution and creation of new sharing material. Existing provider-confirmed commission stays in the ledger and continues through the normal refund, hold, and payout rules.
- Cured matters are resumed. Serious or repeated uncured breaches may remain suspended from new programme activity after the notice and response process.
- You can reply to any notice with your own evidence and we'll consider it before any final decision. Nothing here removes rights you have under law.
6. Pixels
- Pixels are reputation, not money. Each provider-confirmed paid seat earns 10 Pixels. A full refund removes that seat's Pixels; a partial refund leaves them unchanged. Pixels have no cash value and cannot be transferred or purchased.
- Pixels influence priority access as new programme tracks open. They are never awarded for recruiting other partners.
7. Changes and endings
- Programme changes follow the ledger's change rules, including 30 days' written notice and a new published epoch for pool reductions. Active promotions keep their recorded issuance epoch rather than being silently repriced.
- You can leave at any time; cleared balances at or above the minimum pay out on the normal cycle. We can close the programme with notice, honouring earned commissions.
